EuroHold Automotive Group ("EAG"), a wholly owned subsidiary of EuroHold Bulgaria, has entered into an agreement to acquire the controlling stake of Avto Union AD, a subsidiary of Equest Investment Balkans Limited (‘EIB"). The total consideration to be paid for the business and all real estate of Avto Union is 8 million euros.

EuroHold Automotive Group sold 2,757 new cars in 2008. EAG is an authorized dealer of Opel, Chevrolet, Nissan, Renault and Dacia, as well as an exclusive dealer of Saab for Bulgaria and the exclusive representative of Budget Rent-a-Car for the country.

Avto Union AD is a Bulgarian wholesaler and distributor of automotive products and services and sells Fiat, Lancia, Alfa Romeo, Maserati, Mazda, Opel and Chevrolet. It also sells Piaggio, Vespa and Gilera motorbikes, has the exclusive Avis Rent-a-Car franchise and exclusively imports Castrol and BP lubricants. The company is a wholly owned subsidiary of Equest Investment Balkans Limited, a London Stock Exchange (AIM) listed entity. Avto Union sold 3,930 new cars in 2008.

EAG will also acquire Avto Union Center, one of the largest office buildings in Sofia with a total built-up area of more than 28,000 sq.m. EuroHold Automotive Group will assume a 16-million euro mortgage loan related to the construction of Avto Union Center. Avto Union Centre will serve as the new headquarters of EuroHold and its subsidiaries. Avto Union AD is owner of several land plots in Sofia, Plovdiv and Bourgas, planned to be used for the future construction of new show-rooms.

The acquired entity will be fully owned and managed by EuroHold Automotive Group. The combined multibrand car sale business of EAG and Avto Union is likely to be the largest in the country with expected sales of 6,000 units in 2009 and turnover in excess of 120 million euro.

Completion of the transaction is contingent upon receipt of all necessary regulatory approvals.
